These Terms and Conditions("Terms") constitute a legally binding agreement between you("User", "you", "your") and Seepees Group("Company", "we", "us", "our"), theowner and operator of the ZipZapZoom platform, accessible via our mobileapplication and website at zipzapzoom.tech.

By downloading, installing,registering, or using ZipZapZoom in any manner, you confirm that you are atleast 18 years of age, that you have read and understood these Terms, and thatyou agree to be bound by them. If you do not agree, you must immediately stopusing the Platform.

We reserve the right to modifythese Terms at any time. Continued use of the Platform after any modificationconstitutes your acceptance of the updated Terms.

ZipZapZoom is an onlinequick-commerce marketplace that connects customers with local sellers forultra-fast delivery of grocery and daily essential products across India. Weact as an intermediary platform connecting buyers, sellers, and delivery partners.We are not the seller of the products listed on our Platform unless explicitlystated.

ZipZapZoom is currentlyoperational Pan India, subject to availability of delivery partners and sellersin your specific area. Service availability may vary by location.

To use ZipZapZoom’s fullfeatures, you must create an account. You may register using your mobile number(via OTP), Google account, or Apple ID. You agree to provide accurate, current,and complete information during registration and to update your information asnecessary.

You are responsible formaintaining the confidentiality of your account credentials. You agree tonotify us immediately at contact@zipzapzoom.tech if you suspect anyunauthorised access to your account. We are not liable for any loss or damagearising from your failure to protect your account credentials.

Each user may maintain only oneactive account. Creating multiple accounts to abuse promotional offers,referral bonuses, or other benefits is prohibited and may result in permanentsuspension of all associated accounts.

We reserve the right to suspendor terminate your account at our sole discretion, without prior notice, if webelieve you have violated these Terms, engaged in fraudulent activity, or ifrequired by law.

When you place an order onZipZapZoom, you are making an offer to purchase the selected products from therelevant seller at the listed price. Your order is confirmed upon receipt of aconfirmation notification from us.

Product availability, pricing,and delivery estimates are provided in good faith but are subject to changewithout prior notice. We reserve the right to cancel any order if a productbecomes unavailable or if there is a pricing error.

•    We aim to deliver orders as quickly as possible, subject to distance,traffic, and availability of delivery partners

•    Delivery times displayed on the Platform are estimates only and notguaranteed

•    Delivery is available only to addresses within our current operationalzones

•    You are responsible for ensuring someone is available to receive theorder at the provided address

•    In case of failed delivery due to incorrect address or absence of therecipient, the order may be cancelled and a refund processed as per our RefundPolicy

•    For perishable items, if delivery fails due to reasons on thecustomer’s end, a refund may not be issued

•    Orders may be cancelled by the customer before they are accepted by theseller or assigned to a delivery partner

•    Once an order is out for delivery, cancellation is not permitted

•    We reserve the right to cancel any order for reasons including but notlimited to: product unavailability, seller non-response, suspected fraud, orforce majeure events

•    In case of cancellation by ZipZapZoom, a full refund will be processedto your original payment method

All prices listed on thePlatform are in Indian Rupees (INR) and are inclusive of applicable GST unlessstated otherwise. Delivery charges, if applicable, will be displayed clearlybefore you confirm your order. We reserve the right to change prices at anytime without prior notice.

ZipZapZoom accepts thefollowing payment methods:

•    Cashfree Payments — UPI, debit cards, credit cards, net banking, anddigital wallets (primary payment gateway)

•    Razorpay — UPI, debit cards, credit cards, net banking, and digitalwallets (backup payment gateway)

•    Cash on Delivery (COD) — available in select areas and for eligibleorders

Payment is due at the time ofplacing your order. For COD orders, payment is due at the time of delivery. Wereserve the right to withdraw the COD option for any order or user at ourdiscretion.

All online payments areprocessed through PCI-DSS compliant payment gateways. ZipZapZoom does not storeyour full payment card details on its servers. By making a payment, you confirmthat you are authorised to use the selected payment method.

If a payment fails after beingdebited from your account, the amount will typically be refunded by your bankwithin 5-7 business days. Please contact us at contact@zipzapzoom.tech withyour order details if you face any payment issues.

You may be eligible for arefund in the following circumstances:

•    You received a wrong item — an item different from what you ordered

•    You received a damaged or defective product

•    Your order was not delivered within a reasonable time and was confirmedas lost

•    Your order was cancelled by ZipZapZoom

•    A product was missing from your delivered order

•    Refund requests must be raised within 24 hours of delivery through theapp or by emailing contact@zipzapzoom.tech

•    We may request photographic evidence of damaged or wrong items

•    Approved refunds will be processed within 5-7 business days to youroriginal payment method

•    COD refunds will be processed via bank transfer — you will need toprovide your bank account details

•    Change of mind after delivery

•    Incorrect address provided by the customer resulting in failed delivery

•    Perishable products that have been delivered in acceptable condition

•    Orders where the customer was unavailable to receive delivery

ZipZapZoom offers an optionalpremium subscription called ZipPass. By subscribing to ZipPass, you agree tothe following additional terms:

•    ZipPass is available in monthly, quarterly, and annual billing cyclesat the price displayed at the time of subscription

•    Benefits include free or discounted delivery and exclusive orderdiscounts as specified in your chosen plan

•    Your subscription will automatically renew at the end of each billingcycle unless you cancel auto-renewal before the renewal date

•    Cancellation of auto-renewal does not entitle you to a refund for thecurrent billing period — your ZipPass benefits will remain active until the endof the current period

•    Subscription fees are non-refundable except where required by law

•    We reserve the right to modify ZipPass benefits, pricing, or plans with30 days notice to active subscribers

•    ZipPass cannot be transferred, gifted, or shared with another user

By using ZipZapZoom, you agreeNOT to:

•    Provide false, misleading, or inaccurate information duringregistration or while placing orders

•    Use the Platform for any unlawful purpose or in violation of anyapplicable Indian law or regulation

•    Abuse, harass, threaten, or intimidate delivery partners, sellers, orcustomer support staff

•    Attempt to gain unauthorised access to any part of the Platform or itsbackend systems

•    Use automated tools, bots, scrapers, or scripts to access the Platform

•    Place fraudulent orders or abuse refund, referral, or promotionalsystems

•    Reverse-engineer, decompile, or attempt to extract the source code ofour App

•    Post, transmit, or share any content that is defamatory, obscene,illegal, or infringes on any intellectual property rights

•    Impersonate any person or entity, including ZipZapZoom staff ordelivery partners

Violation of these conductrules may result in immediate account suspension or termination and may bereported to law enforcement authorities.

All content on the ZipZapZoomPlatform — including but not limited to the logo, brand name, app design, userinterface, graphics, text, product images provided by us, software, and code —is the property of Seepees Group or its licensors and is protected byapplicable intellectual property laws of India.

You are granted a limited,non-exclusive, non-transferable, revocable licence to use the Platform for yourpersonal, non-commercial use only. You may not reproduce, distribute, modify,create derivative works from, or commercially exploit any content from ourPlatform without our express written permission.

ZipZapZoom is a marketplaceplatform. Products are listed and sold by independent sellers. While weendeavour to ensure the quality and accuracy of product listings, we make nowarranties about:

•    The accuracy, completeness, or reliability of any product description,image, or pricing

•    The quality, safety, legality, or availability of any product listed bysellers

•    The accuracy of nutritional information, expiry dates, or other productattributes displayed

Sellers are solely responsiblefor the products they list and sell. ZipZapZoom is not liable for any productdefects, quality issues, or inaccuracies originating from the seller. However,we are committed to assisting you in resolving disputes with sellers throughour customer support team.

Delivery partners (agents) onZipZapZoom are independent individuals or third-party entities, not employeesof Seepees Group. ZipZapZoom is not responsible for the conduct, acts, oromissions of delivery partners beyond facilitating the connection and enforcingour delivery partner policies. We take complaints about delivery partnerconduct seriously and will investigate and act on verified complaints.

To the fullest extent permittedby applicable Indian law, Seepees Group and ZipZapZoom shall not be liable for:

•    Any indirect, incidental, special, consequential, or punitive damagesarising from your use of or inability to use the Platform

•    Any loss of data, revenue, profits, or business arising from use of thePlatform

•    Any damage caused by viruses, malware, or other technologically harmfulmaterial that may infect your device

•    Any third-party content, products, or services accessed through linkson our Platform

•    Delivery delays caused by traffic, weather, force majeure events, orcircumstances beyond our reasonable control

•    Any loss arising from unauthorised access to your account due to yourown failure to maintain account security

Our total liability to you forany claim arising from the use of the Platform shall not exceed the totalamount paid by you for the specific order or service giving rise to the claim.

You agree to indemnify, defend,and hold harmless Seepees Group, its directors, officers, employees, agents,and partners from and against any claims, liabilities, damages, losses, costs,or expenses (including reasonable legal fees) arising from:

•    Your use of the Platform in violation of these Terms

•    Your violation of any applicable law or regulation

•    Your infringement of any third-party rights

•    Any content you submit or transmit through the Platform

The ZipZapZoom Platform isprovided on an "as is" and "as available" basis withoutwarranties of any kind, either express or implied, including but not limited towarranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that thePlatform will be uninterrupted, error-free, secure, or free from viruses. We donot warrant that the results obtained from using the Platform will be accurateor reliable.

These Terms shall be governedby and construed in accordance with the laws of the Republic of India, withoutregard to its conflict of law provisions.

In the event of any disputearising from or in connection with these Terms or your use of the Platform,both parties shall first attempt to resolve the matter amicably throughgood-faith negotiations. If a resolution is not reached within 30 days, the disputeshall be submitted to binding arbitration in accordance with the Arbitrationand Conciliation Act, 1996 (India). The arbitration shall be conducted in theEnglish language.

Subject to the arbitrationclause above, both parties submit to the exclusive jurisdiction of thecompetent courts of India for any matter not subject to arbitration.

ZipZapZoom shall not be liablefor any failure or delay in performance of its obligations under these Termscaused by events beyond our reasonable control, including but not limited to:natural disasters, pandemics, epidemics, war, civil unrest, government actions,internet outages, power failures, strikes, or any other event constitutingforce majeure under applicable law.

If any provision of these Termsis found to be unlawful, void, or unenforceable by a court of competentjurisdiction, that provision shall be deemed severable and shall not affect thevalidity and enforceability of the remaining provisions, which shall continuein full force and effect.

These Terms, together with ourPrivacy Policy and any other policies or guidelines posted on the Platform,constitute the entire agreement between you and Seepees Group with respect toyour use of ZipZapZoom, and supersede all prior agreements, understandings,representations, or warranties.

In accordance with theInformation Technology Act, 2000 and the Consumer Protection Act, 2019, we havedesignated a Grievance Officer to address user concerns:
